If you are using IdeasGalaxy on behalf of a company, organization, startup, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You are responsible for ensuring that your use of our services complies with all applicable laws and regulations.

 

3. USE OF OUR WEBSITE AND SERVICES

You agree to use IdeasGalaxy only for lawful purposes.

You must not:

·         Use our services for fraudulent, unlawful, abusive, deceptive, or malicious activities.

·         Attempt to gain unauthorized access to our systems, accounts, applications, APIs, networks, or data.

·         Interfere with the operation, security, or availability of our services.

·         Reverse engineer, decompile, disassemble, copy, or reproduce our proprietary software or technology except where expressly permitted by law.

·         Use our services to infringe the intellectual property, privacy, confidentiality, or other rights of another person or organization.

·         Upload malicious software, viruses, harmful code, or other destructive material.

·         Misrepresent your identity, business, authority, or relationship with IdeasGalaxy.

·         Use our services to generate, distribute, or facilitate illegal, harmful, fraudulent, discriminatory, or abusive content.

·         Attempt to circumvent usage limits, security controls, licensing restrictions, or payment requirements.

We reserve the right to suspend or terminate access where we reasonably believe these Terms have been violated.

A business may enter, progress through, remain within, or move between stages depending on its circumstances, industry, market, resources, business model, and objectives.

IdeasGalaxy does not guarantee that any business idea, strategy, product, service, investment, partnership, venture, or business supported by us will achieve product market fit, profitability, specific revenue, market share, funding, valuation, market leadership, or commercial success.

Business outcomes depend on numerous factors outside our control, including market conditions, customer demand, competition, capital availability, execution, regulatory requirements, economic conditions, technology, third party services, management decisions, and the actions of the customer or other parties.

IdeasGalaxy and its education initiatives may provide:

Training and certification indicate completion of the applicable program or assessment and should not be interpreted as a guarantee of employment, income, business success, or professional qualification unless expressly stated otherwise.

 

5. THIRD PARTY AND PARTNER SERVICES

IdeasGalaxy may collaborate with independent professionals, agencies, studios, consultants, technology providers, and other third parties to provide or facilitate certain services.

These may include:

·         Chartered Accountants

·         Lawyers and legal professionals

·         Designers & Developers

·         Branding & Marketing specialists

·         Consultants

·         Technology providers

·         Payment providers

Some services may therefore be performed partially or entirely by third party partners.

Unless expressly stated in writing, such third parties are independent service providers and are not employees, agents, or legal representatives of IdeasGalaxy.

Where a service is provided by a third party, the applicable third party’s terms, policies, professional obligations, pricing, availability, and service conditions may also apply.

IdeasGalaxy will make reasonable efforts to coordinate partner services but cannot guarantee the acts, omissions, availability, quality, timelines, pricing, or performance of independent third parties.

 

6. PROFESSIONAL SERVICES DISCLAIMER

IdeasGalaxy may facilitate access to legal, accounting, taxation, compliance, financial, business, or other professional services through qualified professionals or external partners.

Unless expressly stated otherwise, IdeasGalaxy itself is not acting as your:

·         Lawyer

·         Chartered Accountant

·         Tax advisor

·         Financial advisor

Professional advice should be obtained directly from the appropriately qualified professional.

You remain responsible for reviewing and approving professional advice before acting upon it.

 

7. AI GENERATED CONTENT

Certain IdeasGalaxy services may use artificial intelligence, machine learning, generative AI, automation, or third party AI models.

AI generated outputs may contain inaccuracies, inconsistencies, errors, biases, hallucinations, or unintended similarities.

You are responsible for reviewing and validating outputs before using them commercially, legally, financially, medically, publicly, or in any other consequential context.

IdeasGalaxy does not guarantee that AI generated content will:

·         Always be accurate;

·         Be unique;

·         Be free from errors;

·         Be suitable for a particular purpose;

·         Be free from third party rights or claims; or

·         Produce a particular commercial outcome.

Where third party AI models or APIs are used, their respective terms, limitations, availability, and policies may apply.

 

8. CUSTOMER RESPONSIBILITY FOR INPUTS

You are responsible for ensuring that any information, data, files, images, videos, audio, text, trademarks, documents, or other materials you provide to IdeasGalaxy:

1.      Are accurate and lawful;

2.      Do not violate the rights of any third party;

3.      May legally be processed for the requested purpose; and

4.      Do not contain unlawful or malicious material.

You represent that you have obtained all necessary permissions, licenses, consents, and rights required for us to process the materials you provide.

 

9. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing:

 

9.1 IdeasGalaxy Intellectual Property

All rights, title, and interest in IdeasGalaxy’s:

·         Website

·         Brand

·         Logos

·         Software

·         Source code

·         Applications

·         APIs

·         Platforms

·         Algorithms

·         Frameworks

·         Templates

·         Methodologies

·         Processes

·         Documentation

·         Product architecture

·         Proprietary technology

·         Pre-existing materials

remain the property of IdeasGalaxy or its respective licensors.

Nothing in these Terms transfers ownership of IdeasGalaxy’s intellectual property to you.

 

9.2 Customer Materials

You retain ownership of materials that you independently own and provide to IdeasGalaxy.

You grant IdeasGalaxy the limited rights necessary to use, process, reproduce, modify, transmit, store, or otherwise handle those materials solely for providing the requested services.

 

9.3 Deliverables

Ownership and licensing of specific deliverables will depend on the applicable product, service, order, statement of work, or agreement.

Where full ownership is transferred to a customer, such transfer will occur only after all applicable fees have been paid in full and subject to any third party licenses or restrictions.

IdeasGalaxy may retain ownership of underlying tools, frameworks, reusable components, methodologies, processes, software, templates, or technology used to create the deliverables.

 

10. THIRD PARTY TECHNOLOGY

Some IdeasGalaxy services may depend on third-party platforms, APIs, cloud providers, payment processors, AI models, communication platforms, hosting providers, or other technology providers.

We do not control these third party services.

Their availability, functionality, pricing, policies, limitations, and technical performance may change independently of IdeasGalaxy.

IdeasGalaxy will not be responsible for outages, failures, changes, restrictions, or discontinuation caused by third-party providers.

 

11. ACCOUNTS AND SECURITY

Where an account is required, you are responsible for:

·         Providing accurate information;

·         Maintaining the confidentiality of your login credentials;

·         Protecting your account;

·         Not sharing credentials unless expressly permitted;

·         Notifying us promptly of unauthorized access.

You are responsible for activity conducted through your account unless the activity resulted from a security incident caused by our failure to apply reasonable security measures.

 

12. PRICING AND PAYMENT

Prices for products and services will be communicated through the relevant website, quotation, proposal, order form, invoice, subscription page, or agreement.

Unless otherwise specified:

·         Prices are exclusive of applicable taxes.

·         Applicable GST or other taxes may be charged separately.

·         Payment must be made according to the agreed payment schedule.

·         Third-party charges may apply where relevant.

·         Payment gateway, banking, currency conversion, or transaction charges may apply.

For project-based services, work may begin only after receipt of the applicable advance payment or other agreed commercial confirmation.

 

13. SUBSCRIPTIONS

Certain IdeasGalaxy products may be offered on a subscription basis.

Subscription terms may include:

·         Monthly or annual billing;

·         Renewal periods;

·         Usage limits;

·         Feature limitations;

·         User limits;

·         Storage limits;

·         Cancellation requirements;

·         Promotional pricing.

The specific subscription terms displayed at the time of purchase will apply to that subscription.

We reserve the right to change subscription pricing or features with reasonable notice, subject to applicable law and the terms of your existing subscription.

 

14. REFUNDS AND CANCELLATIONS

Unless a different refund or cancellation term is expressly stated on the relevant product page, quotation, invoice, order form, subscription terms, or signed agreement, the following provisions apply.

 

14.1 Digital Products, Software and SaaS

Because digital products, software, SaaS subscriptions, downloadable products, and immediately accessible services may provide access or value immediately after purchase, a refund is not automatically available after account activation, download, access, licence activation, or commencement of the service.

Where a refund is approved, it may be full or partial depending on the circumstances and applicable product-specific terms.

Nothing in this section limits any refund, cancellation, or other consumer right that cannot legally be excluded under applicable law.

 

14.2 Professional, Consulting, Development, Creative, AI and Done-for-You Services

For services, a cancellation or refund request will be evaluated based on the work and costs incurred up to the date of cancellation, including:

• Work already completed;
• Resources, personnel, or production capacity allocated;
• Third-party or partner costs incurred;
• Deliverables already supplied or made available;
• Non-refundable platform, software, licensing, or service costs;
• The applicable Statement of Work, quotation, invoice, or agreement; and
• The timing and circumstances of the cancellation request.

Where work has not commenced, IdeasGalaxy may, at its discretion and subject to the applicable agreement, provide a full or partial refund after deducting any non-refundable third-party or transaction-related costs.

Where work has commenced, any refund will generally be limited to the portion of fees relating to services that have not been performed, after applicable deductions, unless otherwise agreed in writing or required by law.

Any project-specific cancellation or refund terms contained in a signed agreement, Statement of Work, quotation, or order form will prevail over this general policy.

 

14.3 Subscriptions

Customers may cancel a subscription before the next renewal date to prevent future renewal charges, subject to the applicable subscription terms.

Cancellation generally does not result in a refund for the unused portion of a subscription period that has already been paid for, unless a refund is expressly offered for the relevant product or required by applicable law.

Where a subscription is cancelled, access may continue until the end of the current paid subscription period unless otherwise stated.

 

14.4 Refund Request Process

Refund requests should be submitted to connect@ideasgalaxy.com and should include, where available:

• Customer name;
• Registered email address;
• Order or invoice number;
• Payment ID or transaction reference;
• Product or service purchased; and
• Reason for the refund request.

IdeasGalaxy may request additional information reasonably necessary to verify the transaction and assess the request.

 

14.5 Refund Approval and Processing Time

Once a refund is approved, IdeasGalaxy will initiate the applicable refund through the original payment method or payment gateway, unless otherwise required or permitted by the applicable payment provider.

For payments processed through Razorpay, normal refunds are generally processed and credited by the banking/payment network within approximately 5–7 working days after the refund is initiated. The actual time may vary depending on the customer’s bank, card issuer, payment method, country, and other banking or payment-network processes.

For eligible transactions where an instant refund is available and selected, the payment provider may process the refund faster; however, instant processing is subject to payment-method, banking, and provider eligibility.

The refund will normally be credited to the same payment method used for the original transaction. IdeasGalaxy does not generally transfer refunds to a different bank account or payment method unless the payment provider and applicable law permit an alternative process.

 

14.6 International Payments

Refunds for international transactions are subject to the applicable payment provider, card network, issuing bank, payment method, supported currency, and applicable laws and regulations.

Razorpay supports refunds for eligible international payments. The time taken for the refund to reach the customer’s account may vary based on the international card network, issuing bank, payment method, currency, and banking processes.

Where currency conversion is involved, the amount ultimately received by the customer may differ from the original amount in the customer’s local currency because exchange rates may vary between the original transaction and refund. IdeasGalaxy does not guarantee a particular foreign-exchange rate for refunds.

 

14.7 Payment Gateway and Third-Party Charges

Where permitted by applicable law and the relevant payment-provider terms, transaction fees, payment gateway charges, currency-conversion charges, third-party service costs, and applicable taxes that are not recoverable by IdeasGalaxy may not be refundable.

Razorpay states that, for normal refunds, the original transaction fee and GST charged to the merchant are not reversed to the merchant.

Any deduction from an approved refund will be communicated where applicable.

 

14.8 Failed or Delayed Refunds

If a refund has been approved and initiated but has not been credited within the applicable processing period, customers should first contact connect@ideasgalaxy.com with the refund reference, payment ID, and transaction details.

Where available, IdeasGalaxy may provide the relevant refund reference, ARN, RRN, UTR, or other tracking information so the customer can follow up with the applicable bank or payment provider. Razorpay provides refund tracking and reference information for processed refunds.

 

14.9 No Automatic Refund by Payment Provider

Razorpay and other payment providers process payments and refunds on behalf of merchants; they do not independently determine whether a customer is entitled to a refund. Refund requests should therefore be submitted to IdeasGalaxy in accordance with this policy and the applicable product or service terms.

 

14.10 Chargebacks and Payment Disputes

Customers are encouraged to contact IdeasGalaxy first so that we can investigate and resolve legitimate payment or service concerns.

Nothing in this policy limits any rights a customer may have to raise a dispute or chargeback through their bank, card issuer, payment network, or other applicable authority under applicable law and payment-network rules.

 

14.11 Policy-Specific Terms

Certain IdeasGalaxy products or services may have a separate refund, cancellation, trial, replacement, or service-level policy. Where such specific terms are clearly provided to the customer before purchase, those terms will apply to the relevant transaction.

Customers are encouraged to review the applicable product or service terms before completing a purchase.

 

15. DELIVERY AND TIMELINES

Estimated delivery dates are provided in good faith and may depend on:

·         Customer approvals;

·         Availability of required information;

·         Third-party services;

·         Scope changes;

·         Technical dependencies;

·         Customer delays;

·         Revisions;

·         Regulatory requirements;

·         Unforeseen circumstances.

A delay caused by the customer or a third party may extend the delivery timeline.

 

16. CHANGES IN SCOPE

Where a customer requests additional features, revisions, integrations, deliverables, or changes beyond the agreed scope, IdeasGalaxy may:

·         Charge additional fees;

·         Extend delivery timelines;

·         Require a revised statement of work;

·         Require additional advance payment.

No additional work is required to be performed without appropriate commercial approval.

 

17. BUSINESS OUTCOME DISCLAIMER

IdeasGalaxy provides technology, expertise, execution, and business support.

However, we do not guarantee:

·         Revenue;

·         Profit;

·         Sales;

·         Customer acquisition;

·         Funding;

·         Investment;

·         Market acceptance;

·         Business valuation;

·         Employment;

·         Business survival;

·         Specific ROI;

·         Search rankings;

·         Advertising performance;

·         Startup success;

·         Product-market fit.

Any projections, examples, case studies, estimates, testimonials, or potential outcomes communicated by IdeasGalaxy are illustrative unless expressly stated as contractual commitments.

 

18. NO INVESTMENT GUARANTEE

Participation in any IdeasGalaxy startup, partnership, venture-building, investment-related, or business opportunity does not guarantee financial returns.

Any investment or equity arrangement will be governed by separate written documentation.

Nothing on the IdeasGalaxy website should be interpreted as an offer, solicitation, recommendation, or guarantee of investment returns unless expressly stated in legally applicable documentation.

 

19. CONFIDENTIALITY

Where IdeasGalaxy receives confidential business information from a customer in connection with a service, we will use reasonable measures to protect such information and use it primarily for providing the relevant services.

Confidentiality obligations may be further defined in a separate Non-Disclosure Agreement (“NDA”) or service agreement.

Information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law may not be treated as confidential.

 

20. DATA PROTECTION AND PRIVACY

Your use of IdeasGalaxy services may involve the collection and processing of personal information.

Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.

Our Privacy Policy explains how information may be collected, used, stored, protected, and shared with service providers.

You can review the Privacy Policy on the IdeasGalaxy website.

Where IdeasGalaxy processes personal information on behalf of a customer as a service provider or data processor, the customer may remain responsible for determining the lawful purpose and means of processing, subject to applicable law and contractual arrangements.

 

21. COOKIES AND ANALYTICS

IdeasGalaxy may use cookies, analytics tools, advertising technologies, pixels, and similar technologies to operate, secure, analyze, personalize, and improve its websites and services.

Third-party advertising and analytics providers may process information in accordance with their own policies.

Our Privacy Policy provides additional information regarding cookies and tracking technologies.

 

22. TESTIMONIALS AND CASE STUDIES

With appropriate permission or where legally permitted, IdeasGalaxy may display customer names, logos, testimonials, results, project descriptions, or case studies for marketing and promotional purposes.

Customers may request removal or modification of such material by contacting us.

 

23. AVAILABILITY AND MODIFICATIONS

Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded.

 

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, IdeasGalaxy and its directors, employees, contractors, affiliates, partners, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of our website, products, or services.

Where liability cannot legally be excluded, IdeasGalaxy’s aggregate liability will, to the maximum extent permitted by law, be limited to the amount actually paid by the customer to IdeasGalaxy for the specific product or service giving rise to the claim during the applicable period preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.

 

26. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless IdeasGalaxy, its directors, employees, contractors, affiliates, and partners from claims, losses, liabilities, damages, costs, and expenses arising from:

·         Your violation of these Terms;

·         Your unlawful use of our services;

·         Your violation of third-party rights;

·         Materials or information supplied by you;

·         Your misuse of AI-generated or other outputs;

·         Your violation of applicable laws or regulations.

 

27. THIRD PARTY LINKS

Our website may contain links to third-party websites, applications, services, or resources.

These links are provided for convenience.

IdeasGalaxy does not control and is not responsible for third-party websites, content, policies, products, or services.

Your use of third-party services is subject to the relevant third party’s terms and policies.

 

28. SUSPENSION AND TERMINATION

We may suspend or terminate your access to our services where:

·         Payment is overdue;

·         You engage in fraudulent or unlawful activity;

·         Your activity creates a security or operational risk;

·         Required by law;

·         A third party provider terminates required infrastructure;

·         Continued service becomes commercially or technically impractical.

Termination does not automatically release either party from obligations that accrued before termination.

Sections relating to intellectual property, confidentiality, payments, disclaimers, limitation of liability, indemnification, disputes, and other provisions intended by their nature to survive termination will continue to apply.

30. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, disputes arising from or relating to these Terms shall be subject to the jurisdiction of the courts located in New Delhi, India.

Where appropriate, the parties may mutually agree to attempt good-faith negotiation, mediation, or arbitration before commencing formal legal proceedings.

 

31. CHANGES TO THESE TERMS

IdeasGalaxy may update these Terms from time to time.

When we make material changes, we may update the “Last Updated” date and, where appropriate, provide additional notice.

Your continued use of our website or services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

 

32. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.

 

33. NO WAIVER

Failure by IdeasGalaxy to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision later.

 

34. ENTIRE AGREEMENT

These Terms, together with applicable privacy policies, product-specific terms, subscription terms, statements of work, quotations, order forms, and other written agreements, constitute the agreement between you and IdeasGalaxy concerning the relevant services.
